These Terms of Service (“Terms”) govern your access to and use of the website brynixdigital.com (the “Site”) and any services offered by Brynix Digital (“Brynix Digital,” “we,” “us,” or “our”), including but not limited to Google Ads management, conversion-focused web design, SEO, PPC, marketing automation, Shopify development, and any additional digital marketing services we now offer or may offer in the future (collectively, the “Services”).
By accessing the Site, submitting a form, or engaging us for Services, you (“you,” “Client,” or “User”) agree to be bound by these Terms. If you do not agree, do not use the Site or the Services.
1. Who We Serve
Brynix Digital provides digital marketing services to businesses located in the United States, with a focus on local service and home-contractor businesses (for example, HVAC, roofing, plumbing, and similar trades), though our Services may be used by other business types as well.
2. Use of the Site
You agree to use the Site only for lawful purposes. You may not:
- Attempt to gain unauthorized access to the Site, our systems, or any account;
- Interfere with the security, availability, or functionality of the Site;
- Use automated means (bots, scrapers, etc.) to access the Site without our written consent;
- Upload or transmit anything unlawful, infringing, or harmful.
3. Our Services
Specific deliverables, timelines, pricing, and scope for any engagement are defined in a separate proposal, order form, or service agreement between Brynix Digital and the Client (“Service Agreement”). Where these Terms conflict with a signed Service Agreement, the Service Agreement controls for that engagement.
We may add, modify, or discontinue individual services at any time as our offerings evolve.
4. No Guarantee of Results
Digital marketing outcomes, including search rankings, ad performance, lead volume, cost-per-lead, conversion rates, and traffic, depend on many factors outside our control, including search engine and ad-platform algorithm changes, market competition, budget levels, and the Client’s own website, offers, and responsiveness to leads. Brynix Digital does not guarantee specific rankings, lead counts, revenue, or return on ad spend. Past results or case studies are illustrative only and do not guarantee similar outcomes for any other business.
5. Third-Party Platforms
Our Services may involve or rely on third-party platforms such as Google, Meta (Facebook/Instagram), Shopify, and various CRM, hosting, or automation tools. These platforms are owned and operated independently of Brynix Digital, and:
- Are governed by their own terms of service, policies, and pricing;
- May suspend, restrict, or change accounts, ad campaigns, or features at their sole discretion;
- Are not controlled by, and their actions are not the responsibility of, Brynix Digital.
Where practical, we recommend Clients maintain ownership of their own advertising, analytics, hosting, domain, and CRM accounts.
6. Fees and Payment
Fees, billing frequency, and payment terms are set out in the applicable Service Agreement or invoice. Unless otherwise agreed in writing:
- Invoices are due upon receipt or per the terms stated on the invoice;
- Late payments may result in a pause or termination of Services;
- Fees paid for services already rendered (including ad spend, third-party tools, and time worked) are non-refundable.
7. Intellectual Property
Our Materials
All content on the Site, including text, graphics, logos, and design, is owned by Brynix Digital or its licensors and may not be copied or reused without our written permission.
Client Deliverables
Upon full payment for a given engagement, the Client receives ownership or a license (as specified in the Service Agreement) to the final deliverables created specifically for that Client (e.g., a completed website or ad creative). Brynix Digital retains ownership of its own pre-existing tools, templates, processes, and know-how (“The Booked-Job System” and similar internal frameworks), which are licensed, not sold, to Clients as part of the Services.
Portfolio Use
Unless a Client requests otherwise in writing, Brynix Digital may reference completed work (including screenshots, general performance metrics, and business name) in its own marketing and portfolio materials.
8. Confidentiality
Each party agrees to keep the other party’s confidential business information private and to use it only in connection with the Services, except as required by law.
9. Term, Cancellation, and Termination
Unless a different term is specified in a Service Agreement, engagements continue on a month-to-month or agreed-upon basis and may be canceled by either party with written notice as specified in that agreement. We reserve the right to suspend or terminate Services for non-payment or breach of these Terms.
10. Disclaimer of Warranties
The Site and Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, Brynix Digital and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Site or the Services. Our total liability for any claim relating to the Services will not exceed the amount paid by the Client to Brynix Digital for the specific Services giving rise to the claim in the three (3) months preceding the claim.
12. Indemnification
You agree to indemnify and hold Brynix Digital harmless from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or Services, your violation of these Terms, or your violation of any law or third-party right.
13. Electronic Communications
By providing your email address or phone number, you consent to receive electronic communications from us, including invoices, notices, and marketing messages (where you have opted in), and agree that such communications satisfy any legal requirement that they be in writing.
14. Changes to These Terms
We may revise these Terms from time to time. Updates will be posted on this page with a new “Last Updated” date. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
