Terms & Conditions for Brynix Digital
1. Payment Terms & Invoicing
The Client agrees to one of the following payment schedules: either 50% upfront with the balance due upon project completion, or the phased payments of 25% upfront, 50% after design approval, and 25% upon final delivery. Project work will not begin until the upfront payment is received. A late fee of 5% may apply to overdue payments, or services may be paused until payment is completed. These terms reflect standard industry practice for managing cash flow and commitment.
2. Revisions & Client Delay Handling
Each project includes up to two rounds of revisions. Any additional updates beyond this scope, or delays caused by the client, such as late onboarding or unresponsiveness (“ghosting”), will incur a restart or delay fee. If the client disengages for more than 30 days, the project may be canceled, and no refund will be issued. These clauses mirror common provisions used to avoid perpetual revisions or stalled timelines.
3. Scope of Work & Deliverables
The project scope, including platform (e.g., WordPress, Shopify), number of pages, features, API integrations, and content responsibility, will be clearly defined in a Project Brief. Any additional requests beyond this scope will require a scope amendment and additional fees. This prevents scope creep and aligns both parties.
4. Intellectual Property & Portfolio Rights
Upon full payment, full ownership of the delivered website and assets transfers to the Client. Brynix Digital retains the right to display the project in its portfolio, marketing materials, or showcase. If the Client prefers removal, they must notify Brynix Digital in writing beforehand. Industry-standard practice balances client rights with portfolio credibility.
5. Project Timeline & Client Responsibilities
Project milestones and deliverables will be scheduled based on mutual agreement. Delays from the Client, such as not supplying content or feedback, will result in timeline adjustments. Brynix Digital is not liable for timeline impacts due to client delay. Clear roles and responsibilities ensure smoother delivery.
6. Warranty & Liability Limitations
Brynix Digital ensures the website is delivered with standard functionalities and security best practices. The Client will receive a 30-day bug-fixing warranty, provided no third-party modifications were made. Brynix Digital is not liable for indirect or consequential damages such as lost revenue or SEO fluctuations, aligning with professional norms.
7. Termination & Refund Policy
If Brynix Digital cancels the project, a full refund will be issued. If the Client terminates, a partial refund may be given depending on the work already completed (typically refund between 25–50%). Any work delivered or in progress is non-refundable. This helps protect your effort while being fair to clients.
8. Dispute Resolution & Jurisdiction
This Agreement is governed by the laws of Pakistan and applicable international contract principles. In the event of a dispute, both parties agree to first attempt resolution by negotiation. If unresolved, disputes may be settled by arbitration. This clause avoids costly litigation and clarifies legal expectations.
9. Force Majeure
Neither party is responsible for delays or failures caused by events beyond reasonable control (e.g., natural disasters, political instability, widespread technical failures). Both parties may pause the Project until affected issues are resolved. This ensures fairness during extraordinary events.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business data shared during the project. Confidential information will not be disclosed unless required by law or mutually agreed. This increases client trust and aligns with legal expectations.
